FOODIELAND TICKET TERMS AND CONDITIONS

Scope and Acceptance

Please read these Festival Ticket Terms and Conditions ("Terms" or "Agreement") carefully, as they affect your legal rights and obligations. These Terms apply to any FoodieLand event or festival described on this website or any affiliated ticketing platform (the "Event").

All Event tickets, passes, parking permits, credentials, and entry methods (whether physical, digital, or otherwise) (collectively, "Tickets") are subject to these Terms. By purchasing, accepting, possessing, or using any Ticket, or by entering the Event, you ("User") agree to these Terms and to comply with all related Event rules and policies. The original purchaser ("Authorized Purchaser") and any authorized guest ("Authorized Recipient") are each deemed Users and are responsible for ensuring their guests' compliance with these Terms. FoodieLand LLC ("FoodieLand" or "Event Producer") reserves the right, at its sole discretion, to modify, add, or remove portions of these Terms at any time. Updated versions will be posted on the official Event website and shall take immediate effect.

Admission and License

Tickets grant a revocable license to attend the Event. FoodieLand may revoke this license at any time and for any reason, including violation of these Terms, failure to comply with venue or public safety rules, or disorderly, unsafe, or illegal conduct. Entry may be denied or revoked without refund. Admission is subject to compliance with all local, state, and federal laws, venue policies, and any applicable public health requirements in effect at the time of the Event. FoodieLand reserves the right to implement and enforce health and safety protocols, including mask mandates, proof-of-vaccination, testing requirements, or reduced capacity as necessary. If a User fails to comply with such requirements, admission may be denied or revoked without refund.

Lost, Stolen, or Damaged Tickets

FoodieLand is not responsible for lost, stolen, destroyed, damaged, counterfeit, or unauthorized Tickets and will not honor them for admission. Replacement is at FoodieLand's sole discretion.

Ticket Transfers, Resale, and Unauthorized Use

All publicly sold Tickets are intended for use only by the original Authorized Purchaser and their invited guests. Tickets may not be resold, transferred, or offered for resale, trade, or promotional purposes (including giveaways, contests, sweepstakes, or charitable auctions) without FoodieLand's prior written consent. Tickets obtained from unauthorized sources may be invalid, counterfeit, or void. Resale or attempted resale constitutes grounds for cancellation of the Ticket and termination of the associated license without compensation. FoodieLand may require proof of purchase and identification for entry. Tickets may not be used for any commercial purpose, advertising, or sponsorship without FoodieLand's express written authorization.

Conduct, Searches, and Prohibited Items

User, their vehicle, and belongings may be searched upon entry and throughout the Event. By attending, User consents to such searches and waives any related claims. Refusal to consent may result in denial of entry without refund. FoodieLand reserves the right to remove any person whose behavior is deemed unsafe, offensive, disruptive, or contrary to Event policies. The following items are strictly prohibited: weapons, fireworks, glass containers, illegal substances, drones, laser pointers, skateboards, or any item determined by Event staff to pose a safety risk. FoodieLand is not responsible for confiscated or lost property.

Code of Conduct

FoodieLand is committed to providing a safe, inclusive, and family-friendly experience. Users agree not to engage in abusive, discriminatory, harassing, or disruptive behavior, or to interfere with others' enjoyment of the Event. Users must follow all posted rules, public-safety instructions, and staff directions. FoodieLand reserves the right to refuse admission or eject anyone whose conduct violates these Terms or compromises Event safety or community standards, without refund or liability.

Photography, Recording, and Personal Content

Users may bring small, personal, non-commercial cameras or cell phones for short-form photography and video ("Personal Content"). Use of professional equipment—including detachable lenses, tripods, drones, boom arms, or any similar devices—is prohibited without FoodieLand's prior written consent.

User grants FoodieLand, its affiliates, licensees, and partners an irrevocable, worldwide right to use their image, likeness, voice, and actions captured during the Event in any media, whether now known or later developed, for any lawful purpose, including marketing and promotion, without further authorization or compensation.

User may not make commercial use of any Personal Content without written permission. Commercial use includes posting images or videos for advertising, endorsements, or monetized online platforms. FoodieLand reserves the right to demand removal of any unauthorized commercial use or depiction that falsely suggests association or sponsorship.

Ownership and Intellectual Property

All FoodieLand trademarks, logos, artwork, designs, and other intellectual property (collectively, the "Event IP") are owned by FoodieLand LLC. Unauthorized use of the Event IP, including in advertising, merchandise, or promotional materials, is prohibited. User acknowledges that FoodieLand retains all rights to the Event IP and agrees not to use or reproduce it in any way without written authorization.

Medical Consent and Release

User consents to receive medical treatment deemed advisable in the event of injury, illness, or emergency during the Event and releases FoodieLand, the Event venue, and medical personnel from any liability resulting from such treatment. FoodieLand recommends that all attendees have appropriate health and travel insurance coverage.

Minors and Parental Responsibility

Minors must be accompanied by a parent or legal guardian. Parents and guardians assume full responsibility for the conduct, safety, and supervision of their accompanying minors.

Accessibility and Accommodation

FoodieLand is committed to making its Events accessible to all guests, in accordance with applicable laws, including the Americans with Disabilities Act (ADA). FoodieLand makes reasonable efforts to promote accessibility of event grounds, entrances, and facilities to individuals with disabilities.

Guests requiring specific accessibility information or reasonable accommodations should contact FoodieLand in advance through the official Event website. Accessibility features and accommodations may vary by venue.

Nothing in this section shall be construed as a waiver of rights under applicable disability laws. FoodieLand makes good faith efforts to comply with such laws, but cannot guarantee full accessibility in all circumstances due to venue limitations or temporary event conditions.

Assumption of Risk and Waiver of Liability

User understands and accepts that attending any public event involves inherent risks, including but not limited to injury, illness (including COVID-19 or similar contagious diseases), property damage, or death. By attending, User voluntarily assumes all risks, both known and unknown, and agrees that FoodieLand LLC, its affiliates, employees, contractors, vendors, artists, sponsors, and venue operators (collectively, the "Released Parties") shall not be held liable for any loss, injury, or damage sustained by User.

User further waives and releases all claims against the Released Parties, whether arising in contract, tort, or otherwise, including claims based on negligence. This waiver extends to all known and unknown claims and applies to all Users and their accompanying guests.

Safety and Emergency Protocols

In the event of an emergency, inclement weather, or public safety order, Users must follow all official instructions from staff, security, or public authorities. FoodieLand reserves the right to delay, suspend, or cancel Event activities without refund if necessary to protect the safety of guests, staff, or performers.

Force Majeure and Event Changes

In the event of an emergency, inclement weather, or public safety order, Users must follow all official instructions from staff, security, or public authorities. FoodieLand reserves the right to delay, suspend, or cancel Event activities without refund if necessary to protect the safety of guests, staff, or performers.

Artists, vendors, and schedules are subject to change without notice, and no refund shall be owed due to any such change.

If the Event is canceled due to a Force Majeure Event, FoodieLand may, at its discretion, issue credits, offer rescheduled dates, or provide refunds in accordance with applicable law.

Arbitration and Class Action Waiver

In the event of an emergency, inclement weather, or public safety order, Users must follow all official instructions from staff, security, or public authorities. FoodieLand reserves the right to delay, suspend, or cancel Event activities without refund if necessary to protect the safety of guests, staff, or performers.

("Arbitration Agreement")

To the fullest extent permitted by law, any and all disputes, claims, or controversies arising out of or relating in any way to these Terms, the Event, or any Ticket purchased, held, or used by any User (including but not limited to claims related to admission, attendance, conduct, safety, transactions, or alleged representations by FoodieLand LLC or its affiliates), whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (collectively, "Claims"), shall be resolved exclusively through binding individual arbitration rather than in court.

Arbitration proceedings shall be confidential, and neither Party may disclose the existence, content, or result of the arbitration, except as required by law.

This Arbitration Agreement involves interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16 ("FAA").

(a) Agreement to Arbitrate

User and FoodieLand LLC (together, the "Parties") agree that any Claim arising out of or relating to the Event shall be submitted to and resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its applicable rules in effect at the time the arbitration is initiated (including the AAA Consumer Arbitration Rules, if applicable).

If the AAA is unavailable or unwilling, the Parties may mutually select another recognized arbitration organization. If they cannot agree, a court of competent jurisdiction shall appoint an arbitrator consistent with Section 5 of the FAA.

(b) Location and Governing Law

Unless otherwise agreed, the arbitration shall take place in Los Angeles, California, and shall be governed by California law, without regard to its conflict-of-laws principles, except that the FAA governs this Arbitration Agreement.

(c) Scope of Arbitration

This Arbitration Agreement shall be construed broadly and includes, without limitation:

  • Disputes concerning Ticket purchase, transfer, or use;
  • Claims related to Event access, conditions, or safety;
  • Disputes concerning representations, advertisements, or promotions related to the Event;
  • Any alleged injury, loss, or damage occurring at, before, or after the Event; and
  • Disputes regarding the enforceability or interpretation of this Arbitration Agreement itself.
  • Claims arising under the Americans with Disabilities Act (ADA) or similar accessibility laws shall also be subject to arbitration to the fullest extent permitted by law, except that either Party may seek injunctive relief in court to ensure compliance with applicable accessibility requirements.

The arbitrator, not any court, shall have exclusive authority to resolve all issues concerning the interpretation, applicability, enforceability, or formation of this Arbitration Agreement.

(d) Individual Arbitration Only — No Class Actions

ALL ARBITRATIONS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS. USER UNDERSTANDS AND AGREES THAT NEITHER PARTY MAY BRING, JOIN, OR PARTICIPATE IN A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

The arbitrator has no authority to consolidate claims or preside over any form of a collective proceeding. If this class action waiver is found unenforceable, this entire Arbitration Agreement shall be void.

(e) Procedures and Costs

The arbitration shall be conducted by a single, neutral arbitrator. The arbitrator may award any relief available under applicable law, including compensatory or injunctive relief, but shall have no authority to award punitive or exemplary damages unless expressly authorized by statute.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Each Party shall bear its own attorneys' fees and costs, unless otherwise required by law. FoodieLand will pay any arbitration filing or administrative fees that exceed what User would pay to file a claim in a court of competent jurisdiction.

(f) Exceptions

Notwithstanding the foregoing, either Party may seek temporary injunctive or equitable relief in court to preserve the status quo or prevent irreparable harm pending arbitration. Either Party may also bring qualifying claims in small claims court on an individual basis.

(g) Survival and Severability

This Arbitration Agreement shall survive the termination or expiration of these Terms, any fulfillment or default of obligations hereunder, and any bankruptcy or insolvency proceeding by either Party. If any portion of this Arbitration Agreement (other than subsection (d)) is found unenforceable, that portion shall be severed, and the remainder shall remain in effect. If the class action waiver in subsection (d) is found invalid or unenforceable, this entire Arbitration Agreement shall be null and void.

Limitation of Liability

To the maximum extent permitted by law, none of the Released Parties shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. The total aggregate liability of FoodieLand LLC and its affiliates for any claim shall not exceed the amount paid for the applicable Ticket. Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the fullest extent allowed by law. This limitation applies to all causes of action, whether in contract, tort (including negligence), strict liability, or otherwise.

Indemnification

User agrees to indemnify, defend, and hold harmless FoodieLand LLC, its officers, employees, agents, contractors, and affiliates from any claims, demands, damages, or expenses (including attorneys' fees) arising out of or related to User's conduct, acts, or omissions before, during, or after the Event.

No Third-Party Beneficiaries

These Terms are for the benefit of the Parties only and are not intended to confer any rights or remedies upon any other person.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute not subject to arbitration shall be heard exclusively in state or federal courts located in California, and User consents to the jurisdiction of such courts.

No Refunds; All Sales Final

Except where prohibited by law, all sales are final. FoodieLand does not provide refunds or exchanges for any reason, including weather, artist lineup changes, or rescheduling, unless required by law.

Severability and Enforcement Limits

If any provision of these Terms, or the application of any provision to any person or circumstance, is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified and enforced to the maximum extent permissible so as to effect the intent of the parties.

If such modification is not possible, the invalid or unenforceable provision shall be deemed severed from these Terms, and the remaining provisions shall remain in full force and effect.

Where a limitation, waiver, or disclaimer (including, without limitation, those relating to arbitration, liability, or refunds) is found to be invalid under the laws of a particular jurisdiction, the limitation shall be applied only to the extent permitted by such laws.

Any claim or cause of action arising out of or related to these Terms or the Event must be filed within one (1) year after the cause of action arose, or it is permanently barred.

Acknowledgment

By purchasing, accepting, or using a Ticket, or by entering the Event, User acknowledges that they have read, understood, and agree to be bound by these Terms, and that violation of these Terms may result in removal from the Event without refund.

Entire Agreement

These Terms, together with FoodieLand's Privacy Policy and any supplemental policies referenced herein, constitute the entire agreement between the User and FoodieLand LLC regarding ticket purchase and Event attendance. FoodieLand reserves all rights not expressly granted herein.

By purchasing or using a Ticket through any digital platform, User acknowledges and agrees that electronic acceptance constitutes a binding legal signature.

Any notices or communications under these Terms shall be deemed delivered when sent via email to the address provided at the time of Ticket purchase or posted on the official Event website.
